1. Application area, power of representation, distribution restrictions

1.1 Our deliveries and services are subject exclusively to the following terms of sale and delivery. Any terms applied by the ordering party are excluded from applicability even if we do not explicitly object to such terms and carry out the delivery. Variations and additions by the ordering party become effective only with the explicit written confirmation of our managing directors or authorized representatives. These apply only for the business transaction for which they were agreed upon.

 

1.2 Our traveling salespeople and representatives are not authorized to give guarantees regarding quality or durability, or any other guarantees on our behalf if they deviate from these terms and conditions. Such potential agreements require our written confirmation to become effective.
1.3 The following conditions also apply to all future business with the ordering party.
1.4 Our products require technical explanation and are intended for specialized shops and not for use by private end users. Installation must be done by qualified technical personnel. If products are resold to private end users, installation must be carried out by trained personnel and respective labeling and documentation provided.

2. Conclusion of the contract, documents, right to make alterations

2.1 Specifications provided prior to order placement are binding only if confirmed in writing with the order confirmation.
2.2 Our offers are subject to change. Contracts are effective upon written confirmation or delivery within 14 days of order receipt.
2.3 Property rights and copyrights of cost estimates, drawings and documents are reserved and must not be shared with third parties.
2.4 We reserve the right to make non-detrimental design changes after contract conclusion.

3. Prices, payment, set-off, retention

3.1 Prices in order confirmations are binding and exclude statutory VAT.
3.2 Payments will be made within 30 days of invoice receipt unless otherwise agreed.
3.3 Offset or retention rights are limited to undisputed or legally established claims.

4. Delivery period

4.1 Delivery dates are binding conditioned on receipt of documents, permits, and payment terms.
4.2 Statutory rights arise if delivery delays occur due to supplier fault.
4.3 Partial deliveries are allowed if reasonable.

5. Force majeure

5.1 Events beyond our control release us from obligations for their duration, including strikes, governmental actions, or unforeseen impediments. Notification will be immediate.
5.2 If impediments exceed three months, either party may rescind the contract.

 

6. Transfer of risk, acceptance

6.1 Delivery is ex works. Risk passes to the customer upon handover to carrier.

 

7. Retention of title

7.1 Goods remain our property until full payment.
7.2 Processing or transformation is on our behalf without creating obligation; co-ownership applies in case of mixing goods.

 

8. Claims for defects, warranty

8.1 Warranty is governed by statutory law unless otherwise agreed.
8.2 Inspection and defect notification must be within 10 calendar days of receipt.
8.3 Rights include repair or replacement at our discretion.

 

9. Limitation period

9.1 Defect claims expire 12 months after delivery unless mandatory longer laws apply.

 

10. Liability

10.1 Liability is limited to willful intent and gross negligence.
10.2 Exclusions apply to consequential damages except injury to life, body, or health.

 

11. Data protection

11.1 Personal data will be processed under applicable data protection laws as detailed in our privacy policy.

 

12. Place of jurisdiction, applicable law

12.1 Place of jurisdiction and performance is Tel Aviv, Israel.
12.2 These terms are governed by the laws of the State of Israel, excluding conflict of laws and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
